Kayak Airways, Inc., the leading international carrier in the Kayak travel category, announced today that it has agreed to a definitive agreement to merge the Kayaks Kayak Travel, Kayak Cruise and Kayaks Travel Group operations.
The combined company will operate as Kayak Kayak Holdings LLC, or Kayak.
The transaction is expected to close in the fourth quarter of 2017, subject to regulatory approvals.
Kayak has been engaged in negotiations with a number of potential acquisition candidates, and the transaction is an extension of the ongoing discussions.
The company has also been exploring strategic alternatives for the KayAK business, including the possibility of acquiring Kayak’s remaining operations, including Kayak Air, Kayaks Worldwide, Kayaking Air, and Kayaking Jet.
The acquisition is expected, and will benefit all of Kayak and its shareholders.

The transaction, which will close in early 2018, is expected in the first quarter of 2019.
The merger will result in a consolidated, integrated Kayak, Kayakin and Kayakin Group, and existing Kayak businesses and subsidiaries, as well as the assets of the Kayaking Kayak Group.
Kayak is a wholly owned subsidiary of Kayaking Holdings.
Kayaks and Kayakis travel and leisure brands will continue to operate independently, with no merger or consolidation of these businesses.
The Merger will result from a merger of Kayakin with Kayaking.
The merger will be subject to the approval of the Merger Committee.
The parties are fully committed to a successful conclusion of this transaction.
The transaction is subject to customary closing conditions.
